Job Description
Management

The Manager Legal & Corporate Services (Capital Markets/Structured Finance), (MLCS), manages the day-to-day planning and activities of his/her sub-team.

He/she defines specific objectives and scope of work to be done and ensures that the services delivered to the clients are in accordance with company standards.

The MLCS monitors and reviews the status of the daily corporate and legal affairs of the client companies, including, but not limited to, transaction and other legal documents.

The MLCS monitors and reviews the timing of Board and General Meetings and the statutory filing of the client companies dedicated to the sub-team.

The MLCS reviews the time writing of his/her sub-team on a weekly basis to ensure appropriate chargeability and a proper invoicing of the work on behalf of clients in accordance with the “Time Recording” process and procedure.

The MLCS ensures pro-active participation in the cash collection of the outstanding invoices of the his/her sub-team in accordance with the “Accounts Payable Management” process and procedure.

He/she assists the BUM/BUD in hiring new staff members for his/her sub-team. The MLCS organises and conducts the annual appraisal and promotions process of his/her sub-team. The MLCS is responsible for the people management process in his/her sub-team, including, but not limited to, providing appropriate training, coaching, feedback and giving clear ambitious and achievable targets to the sub-team.
Legal and Corporate

The MLCS supervises corporate and finance transactions, ensuring their timely and accurate execution. These transactions include, but are not limited to securities programmes (including MNT programmes and repackagings), collateralised loan/debt obligations, residential mortgage-backed security or other asset backed-securities, distressed debt investment as well as various types of loans such as income sharing loan or free interest loan.

The MLCS ensures he/she and the sub-team fully understand the transactions and provide support to the sub-team in this respect. The MLCS ensures in his/her sub-team the proper incorporation of new client companies (mainly regulated and unregulated securitisation vehicles or special purpose vehicles) or as the case may be the transfer in of client companies from another service provider in accordance with the “B. Incorporation” and “B1. Transfer in from another service provider” processes and procedures.

The MLCS ensures the proper opening of the bank accounts of the client company in accordance with the “G. Bank payments and Client Administration” processes and procedures. The MLCS ensures cooperation between his/her sub-team and the (S) RMA and MAS to manage/conduct the necessary financial aspects of specific transactions (incorporation, liquidation, migrations, restructurings, capital markets transactions related closings etc.). The MLCS reviews and coordinates the drafting and/or review of legal and transaction documents in accordance with the “xx” procedure and policy.

The MLCS supports his/her sub-team(s) with answering complex legal & corporate matters as well as structured finance related matters and queries, in cooperation with Legal Director Client Services, if applicable and where necessary. The MLCS ensures the proper maintenance of the legal files (completeness, accuracy, updating etc.) of his/her sub-team in accordance with the “Filing” and “Archiving” processes and procedures. The MLSC ensures the legal review of the financial statements team in accordance with the “Drafting, Approval and Filing of Annual Accounts” process and procedure.
Compliance

The MLCS ensures timely acceptance of clients in accordance with the “Client Acceptance” process and procedure. The MLCS ensures timely periodic review of clients in accordance with the “xx” process and procedure. The MLCS actively participates in risk management and compliance. The MLCS ensures active transaction monitoring of the companies in his/her sub-team in accordance with the “Transaction Monitoring” process and procedure.
Relationship Management

The MLCS ensures the sub-team follows the 24 hour response policy (internally and externally). The MLCS ensures appropriate organisation and welcome of clients during client meetings. The MLCS ensures timely organisation and preparation of board meetings (leadership, location, social program, board pack, minutes…). The MLCS monitors and ensures clear, efficient and professional communication between sub-team members and third parties. The MLCS takes ownership in maintaining the relationship with existing clients and intermediaries. This should result in longstanding and profitable relationships with clients and intermediaries and limit client outflow.
Business Development

The MLCS will attend meetings of prospects and intermediaries in order to present company and its services. He/she can also participate in business trips for visiting existing clients, intermediaries and new potential clients.

Act as Director/Manager on Board of client companies

The MLCS is expected to take on the role of Director/Manager on the boards of client companies (regulated and unregulated securitisation vehicles or special purpose vehicles) in accordance with the “Directors and Managers” procedure and policy.
Experience
-
University or professional studies in law or equivalent level gained through relevant professional experience and continuous professional learning.

5-7 years relevant experience in an international Law, Tax or Trust environment.

Solid knowledge of international tax law, Luxembourg and international company law, Luxembourg and international capital markets related legislation and regulations, stock exchange markets rules and regulations.

Experience in holding and securitisation and structured finance structures, incorporations and liquidation procedures, corporate transactions and complex structured finance transactions, listing and admission to trading securities issuances and related application;
Required Languages:
Fluent in English, both verbally and in writing.
